Overview

For over 25 years, Kevin Roragen has represented numerous public and private clients in varied litigation matters, primarily in the areas of employment defense, constitutional law, municipal and governmental liability issues, zoning and municipal land use regulation, construction disputes, general commercial and business litigation, as well as tax and other real estate litigation matters.

Litigation Matters

Kevin represents clients in various complex litigation matters involving municipal and public liability, constitutional law, employment matters, real estate, tax, commercial and other business and contractual matters. He regularly appears on behalf of clients at all levels of state and federal courts, and federal, state and local administrative tribunals and agencies. 

Kevin started his legal career as the appointed Assistant City Attorney for the City of Grand Ledge (1997-2001).  In that capacity, he was responsible for all of the City’s ordinance enforcement and appeared in numerous matters on the City’s behalf involving employment, general issues of municipal liability and governmental immunity, zoning and land use regulation, and inter-governmental contracts and agreements.  

He also represents private business and commercial interests in both transactional and litigation matters involving municipal development agreements, real estate development/construction disputes, zoning and planning issues, partnership disputes, property ownership/title disputes, including oil, gas and mineral rights, and rights of way/easements.

Real Estate

Kevin regularly counsels developers, syndicators, and other investors on tax and business aspects of real estate investments and projects. He drafts equity agreements and other foundational agreements related to real estate development and understands the government agencies involved at the state and federal levels.

Represents institutional, business and individual clients in various complex transactional real estate matters involving:

  • Tax credit equity investment.
  • Property acquisitions, sales and business acquisitions and dispositions.
  • Negotiating, drafting and reviewing various real estate documents, partnership agreements, operating agreements, contractual agreements, and other business agreements.
  • Formation of business entities.
  • Preparation of equity agreements for institutional investors in transactions involving low-income housing tax credits and historic rehabilitation tax credits.
  • Regularly advising clients regarding tax matters and formulating tax planning strategies including, when necessary, proceedings before the Michigan Tax Tribunal and State Tax Commission.
