Jennifer Kildea Dewane is a member of Foster Swift’s Health Care Practice Group and serves on the firm's Executive Committee. She provides counsel to many leading health care providers and payors throughout Michigan.
In her representation of health care providers, Jennifer works with hospitals, physicians, home health agencies, hospices, long term acute care facilities, and pharmacies. Jennifer focuses this portion of her practice on corporate transactions (joint ventures, mergers and acquisitions), regulatory matters, tax-exempt issues, fraud and abuse, credentialing and peer review matters, physician recruitment, facility licensing and certification, contract drafting and complex negotiations, third party payor audits, HIPAA privacy and security issues, as well as corporate compliance.
In her representation of HMOs and insurers on regulatory issues, Jennifer assists clients in interpreting insurance laws. Some of the matters she routinely assists clients with include: negotiating and structuring mergers, acquisitions, joint ventures, and affiliations; advising clients on day-to-day compliance issues; drafting managed care contracts; reviewing certificate of coverage provisions; assisting clients in preparing documents and letters for internal and external member grievances/appeals; representing third party administrators; and advising insurers and HMO clients on recent changes to HMO and insurance laws.
Recognized for her ability to streamline complex topics, she is frequently invited to speak and write on the industry’s most current legal publications. Jennifer has delivered the annual "Michigan Health Law Update" to attorneys at the ICLE Health Law Institute since 2004.
Active in both professional and community organizations, Jennifer is a member of the State Bar of Michigan’s Health Care Law Section (having served in several leadership roles), the American Bar Association and its Health Care Law Section, the Ingham County Bar Association, and the American Health Lawyers Association. Locally, Jennifer sits on the Highfields Inc. Board of Directors, a multi-purpose human services organization based in mid-Michigan that helps young people and families.
Representative Matters
- Advises clients as to whether proposed transactions or current practices are permissible under fraud and abuse rules and regulations as well as applicable tax-exemption laws.
- Represents clients in all stages of mergers, acquisitions, joint ventures, and affiliations.
- Prepares health care provider regulatory applications and filings (MDCH, OFIR, & Medicare).
- Drafts and negotiates complex administrative services agreements and management contracts for insurers, TPAs, employers and coalitions.
- Represents clients in credentialing and privileging issues.
- Completes Certificate of Need (CON) applications, advises clients on related law and works with CON Commission on revising CON Standards to address client's specific needs.
- Defends Medicare Part A and Part B appeals as well as BCBSM audits on behalf of health care clients.
- Counsels clients on confidentiality of patient records and compliance with HIPAA privacy and security rules.
- Negotiates compromises regarding regulatory matters with the Office of Financial and Insurance Regulation's ("OFIR") Commissioner and the Michigan Department of Community Health.
- Incorporates and structures indemnity insurers, and HMOs (including Medicaid HMOs).
